Terms of Service

These Terms of Service (“Terms”) form an agreement between you and Droughtless Inc. (“Droughtless,” “we,” “us”) governing your use of the Droughtless irrigation platform, including our web application, connected hardware, and any related services (collectively, the “Service”).

1. Acceptance of these terms

By creating an account, connecting a device, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree to these Terms, do not use the Service.

2. The service

Droughtless helps property owners and operators design, monitor, and automate irrigation. The Service includes site modeling tools, sensor data ingestion, scheduling and optimization (some of which is generated by artificial intelligence models), reports, and integrations with supported third-party irrigation controllers.

The Service is offered for commercial and professional use. It is not a consumer-grade home product and is not intended for safety-critical or life-critical applications.

3. Accounts and eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate registration information and keep it up to date. You are responsible for all activity that occurs under your account, for keeping your credentials confidential, and for promptly notifying us of any suspected unauthorized access.

Each user must have their own account — do not share login credentials. Organizations may invite multiple members; the inviting organization is responsible for the actions of the members it invites.

4. Your data and content

You retain ownership of the data you provide to the Service, including site geometry, sensor readings, photographs, configuration, and any content you upload (“Customer Data”). You grant Droughtless a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, and display Customer Data solely as needed to operate, secure, support, and improve the Service for you.

We may use aggregated and de-identified data derived from Customer Data (for example, aggregate water-savings statistics across many sites) to operate, evaluate, and improve the Service. We will not publish or share aggregated data in a form that identifies you or your sites.

You are responsible for the accuracy and legality of Customer Data and for ensuring you have the rights necessary to upload it.

5. AI-generated recommendations

Portions of the Service use artificial intelligence to generate watering schedules, alerts, plant guidance, and other recommendations. These outputs are recommendations, not instructions. They may be inaccurate, incomplete, or inappropriate for your specific site, soil, climate, plants, or local regulations.

You are responsible for reviewing AI-generated outputs before acting on them and for the final decisions you make about your irrigation system. Droughtless does not guarantee that AI recommendations will conserve water, keep plants healthy, comply with local water restrictions, or produce any particular outcome.

6. Connected devices and your property

If you connect physical irrigation controllers, sensors, or other devices to the Service, you remain solely responsible for those devices and the irrigation system they operate. You are responsible for:

  • Following all applicable plumbing, electrical, water-restriction, and building codes when installing or operating equipment.
  • Properly winterizing your system, monitoring for leaks, and protecting against freezing, water hammer, and pressure surges.
  • Maintaining manual overrides and a way to shut off water supply independently of the Service.
  • Verifying that automated schedules will not cause flooding, runoff, or damage to people, animals, plants, or property.

The Service depends on internet connectivity, third-party APIs, sensor accuracy, and device firmware that are outside our control. Schedules may be missed, delayed, or executed unexpectedly. Do not rely on the Service for any function where a missed or extra watering event could cause harm.

7. Acceptable use

You agree not to:

  • Use the Service in violation of any law, regulation, or third-party right.
  • Attempt to reverse engineer, decompile, or extract the source code of the Service, except to the extent that applicable law expressly permits.
  • Probe, scan, or test the vulnerability of the Service, or interfere with or disrupt its operation, networks, or other users.
  • Resell, sublicense, or provide the Service as a paid service to third parties without our written consent.
  • Upload malware, scrape data in bulk, or impersonate any person or entity.
  • Use the Service to operate critical infrastructure, life-safety systems, or anything where failure could cause death, personal injury, or severe environmental or property damage.

We may suspend or terminate accounts that violate these rules.

8. Third-party services

The Service interoperates with third-party products, including weather data providers, AI providers, mapping providers, single sign-on providers, and third-party irrigation controllers. Your use of those third-party products is governed by their own terms. Droughtless is not responsible for the availability, accuracy, or content of third-party products and does not endorse them.

9. Fees and beta access

The Service is currently offered as an early-access program and may be provided free of charge or under a separate written agreement. Some features may be labeled “beta,” “preview,” or “experimental” — these features are provided for evaluation, may change or be removed at any time, and may be less reliable than generally available features.

We may introduce paid plans in the future. If you are on a free or early-access plan when paid plans launch, we will give you reasonable advance notice and the option to subscribe or stop using paid features before any charges apply.

10. Our intellectual property

The Service, including its software, designs, branding, and documentation, is owned by Droughtless and our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose during the term of these Terms. We reserve all rights not expressly granted.

11. Feedback

If you send us suggestions, ideas, or feedback about the Service, we may use them without restriction or compensation. You agree not to send us anything you consider confidential or proprietary as feedback.

12. Termination

You may stop using the Service at any time and request account deletion as described in our Privacy Policy. We may suspend or terminate your access if you violate these Terms, if continued provision of the Service would expose us to legal or security risk, or if we discontinue the Service.

After termination we will retain or delete Customer Data as described in our Privacy Policy. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will survive.

13. Disclaimers

Please read this section carefully — it limits our obligations to you.

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, Droughtless disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any particular outcome — including water savings, plant health, or regulatory compliance — will be achieved.

14. Limitation of liability

To the maximum extent permitted by law, Droughtless and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, water, plants, crops, or property, however caused, whether based in contract, tort (including negligence), strict liability, or otherwise, even if we have been advised of the possibility of such damages.

Our total cumulative liability arising out of or related to these Terms or the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months immediately before the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. To the extent the law of your jurisdiction limits these exclusions, the exclusions apply to the fullest extent permitted.

15. Indemnification

You agree to defend, indemnify, and hold Droughtless harmless from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Service, (b) Customer Data, (c) your operation or installation of irrigation equipment, or (d) your violation of these Terms or any applicable law or third-party right.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Any dispute arising out of or related to these Terms or the Service that is not resolved informally will be brought exclusively in the state or federal courts located in Delaware, and you and Droughtless consent to personal jurisdiction there.

Before filing a claim, you agree to first contact us at privacy@droughtless.com and attempt in good faith to resolve the dispute.

17. Changes to these terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this page. For material changes, we will also notify active users by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
